Transparency

The law of 11 January 2008 on transparency requirements for issuers of securities (the "Transparency Law"), supplemented by the Grand-ducal regulation of 11 January 2008 on transparency requirements for issuers of securities (the "Transparency Regulation"), applies to issuers for which Luxembourg is the home Member State in accordance with this law. These issuers are required to provide ongoing and periodic information, defined as "regulated information". Regulated information notably includes periodic financial reports, information to be provided in relation to major holdings and inside information. As regards this regulated information, the Transparency Law imposes three disclosure requirements on issuers:

  • effective dissemination of the regulated information;
  • making this information available to an Officially Appointed Mechanism (OAM) for the central storage of regulated information; and
  • filing of the regulated information with the CSSF.
