Filing of regulated information

Pursuant to article 18(1) of the law of 11 January 2008 on  transparency requirements for issuers of securities (“the Law”), the issuers for which Luxembourg is the home Member State in accordance with the Law are required to file their relevant regulated information (including the home Member State they have chosen) with the CSSF. Besides the regulated information, where such issuer proposes to amend its instrument of incorporation or statutes, it shall communicate the draft amendment to the CSSF.

 

Furthermore, pursuant to article 18(2) of the Law, the holders of shares or of depository receipts, as well as the persons referred to in article 9 of the Law, shall file the information they are required to notify to the issuer in accordance with articles 8, 9, 11 and 12 of the Law with the CSSF as well.

 

At present, the persons referred to above are deemed to be meeting the requirement to file information with the CSSF when sending the relevant information via e-mail to the address transparency@cssf.lu.
