In the context of the licensing of a Société d’Investissement en capital à risque (“Sicar” or Investment Company in Risk Capital) as regards the modified law of 15 June 2004 (the “Sicar law”) the CSSF is defined as the competent authority in Article 11.
The information request below represents authoritative guidance for interested parties with the goal of launching a Sicar project in accordance with the Sicar law and seeking the formal licensing procedure with the CSSF. The CSSF considers the information to be provided as minimum requirements and reserves the right to request additional information as may be deemed eligible in the context of a potential file instruction.
The CSSF assumes that in most instances the information request will be prepared by the Sicar’s legal adviser of choice. If applicable, please indicate whether the legal adviser is supposed to assume any responsibility in carrying out any function or responsibility during the ordinary course of business for the Sicar.
While completing the questionnaire please reference the information directly to the (draft) articles of incorporation, the prospectus (Private Placement Memorandum) or any other document to be attached in the appendix indicating the corresponding page number(s) and/or paragraphe(s).
