Communication à l’industrie des fonds d’investissement concernant les informations à fournir à la CSSF par un GFI établi au Luxembourg ayant l’intention d’exercer des activités en marque blanche (« white-label business ») (uniquement en anglais)
en vertu de l’article 13, paragraphe 2 bis, de la loi de 2013 et/ou de l’article 111, paragraphe 2, de la loi de 2010
The Law of 3 March 2026 has been adopted to transpose Directive (EU) 2024/927 of the European Parliament and of the Council of 13 March 2024 into Luxembourg law. In this context, additional requirements have been introduced for investment fund managers (IFMs) that manage or intend to manage a fund at the initiative of a third party.
According to Article 13(2a) of the Law of 12 July 2013 on alternative investment fund managers (the “Law of 2013”) and/or Article 111(2) of the Law of 17 December 2010 relating to undertakings for collective investment (the “Law of 2010”), where an IFM manages or intends to manage a fund at the initiative of a third party, including cases where that fund uses the name of a third-party initiator or where an IFM appoints a third-party initiator as a delegate pursuant to one of the above articles, the IFM must, taking account of any conflicts of interest, submit detailed explanations and evidence of its compliance with these articles to the CSSF.
In this regard, the CSSF hereby informs market participants of the publication on its website of a new dedicated form « Information to be provided to the CSSF by a Luxembourg-based IFM intending to perform white-label business under Article 13(2a) of the Law of 2013 and/or Article 111(2) of the of Law 2010« . Any IFM wishing to undertake this activity for the first time must provide the required information to the CSSF by filling in and submitting this form.
The CSSF reserves the right to request additional information about the initial notification at any time.
